Q.1) “The fundamental attribute of corporate personality is that company is a
legal entity distinct from the members.” Elucidate this statement.
OR
Q.1) “A company cannot alter conditions contained in its Memorandum except
in cases, in the mode and to the extent for which express provisions are
made in the Act.” Explain.
Q.2) The Rule in Royal British Bank V/s Turquand is designed to protect persons
dealing with the company. Explain doctrine of Indoor Management with
exceptions.

Q.2) Explain in detail the Law relating to Share Allotment and Transfer. Also
explain difference between Transfer and Transmission of Shares.
Q.3) What are the statutory provisions regarding holding of an annual general
meeting ? What type of Business is transacted at such meeting ?
